Conservation Bird Dog Club, Inc.
Constitution and By-Laws 1989
Article I - NAME
A. The name of this club shall be "The Conservation Bird Dog Club, Inc."
Article II - OBJECT
A. The purpose of the club shall be:
1. The practice of good conservation measures.
2. To foster and perpetuate the furthering and breeding of pointing breeds of dogs.
3. To promote good relationships between hunters and land owners.
4. To promote fellowship among club members.
5. Above all, to promote good sportsmanship.
Article III - OFFICERS AND BOARD MEMBERS
A. Officers of club shall consist of:
1. Board of directors
2. President
3. First Vice-President
4. Second Vice-President
5. Secretary
6. TreasurerB. The officers shall be nominated in April of each year and elected at the regular meeting in May of each year.
C. Terms of office:
1. President -- 2 years in succession
2. First Vice-President -- 2 years in succession
3. Second Vice-President -- 2 years in succession
4. Secretary-no limit
5. Treasurer-no limit
6. Directors (three members)a.) Each year, one member will be elected for a three year period.
D. In case of a vacancy in the office of President, the First Vice-President automatically becomes President.
1. A new Second Vice-President shall be elected at the meeting following this vacancy.
E. The Board of Directors
Members:a) All elected officers
b) Three (3) Director members
c) Immediate past President
Article IV - DUTIES OF OFFICERS AND BOARD MEMBERS
A. President
1. Preside at all meetings of the club.
2. Appoint committees as needed.
3. Appoint two members of the auditing committee.B. Vice-Presidents
1. First Vice-President
a) Presides in the absence of the President
2. Second Vice-President
b) Chairman of all committees
C. Secretary1. Keep minutes of all meetings
2. Issue special notices
3. Maintain a register of members
4. Call meeting to order and preside in absence of Presidents and Vice-Presidents
5. Receive and present to the club all applications for membershipD. Treasurer
1. Receive and deposit all funds of the club, giving receipt thereof
2. Keep itemized record of all receipts and expenditures
3. Pay out money only as approved by the members with exception of routine utilities and maintenance bills
4. Report on financial matters at each club meeting
5. Submit records to the auditing committee at the close of the club year
6. Receive all funds coming into the club, keeping a record and giving a detailed report to the club
E. Board of Directors
1. Act as governing body for the successful operation of the club
Article V - MEMBERSHIP
A. Membership in the club shall be limited to one hundred (100) members (Amended February 2, 1969)
B. New members must be reviewed by the investigating committee, which is appointed by Board of Directors
C. A prospective member shall have his name presented to the club, and it must be approved by a two-thirds (2/3) majority of total members present
D. Annual dues shall be One Hundred ($100) dollars, payable at the first meeting in September
E. Membership initiation fee is Two Hundred ($200) dollars
F. Duties of members and meetings1. Regular attendance at club meetings
a) Regular meetings shall be held on the second Tuesday night of each month
b) Fifteen (15) members shall constitute a quorum for the transaction of business2. Participation in all club activities
3. Participate in all assigned committee duties
4. The Board of Directors shall meet at least every other month
Article VI - AMENDMENTS
A. To amend this Constitution and By-Laws, all members must be notified. Such amendment is to be presented by club newsletter
B. No amendments shall be balloted on until the meeting following the reading and proposal of such amendment
C. This Constitution and By-Laws may be amended by a two-thirds (2/3) majority of the membership present
